By-Laws
Article I:
General
A.
Name:
The organization shall be called the Lake Ontario Parrot Head Club.
For the purpose of these bylaws it may be referred to as the LOPHC.
B.
Purpose:
The purpose of the organization is to promote the Lake Ontario
Parrot Head Club as a humanitarian group sharing community and
environmental information for majority approved mutual benefits.
The organization will engage in activities, which are charitable,
educational, high spirited, and promote the general welfare of the
community.
C.
Mission:
The Lake Ontario Parrot Head Club is a not for profit organization
dedicated to preserving and improving the environment, active in community
oriented projects and concerns as a means of social interaction with like
minded people interested in the lifestyle and music of Jimmy Buffett and a
Caribbean tropical spirit.
Article II:
Membership and Dues
A.
Club Membership:
Membership in the Lake Ontario Parrot Head Club shall be open to
all, regardless of sex, creed, national origin or sexual preference.
A member will be considered in good standing so long as his dues
are current.
B.
Dues:
The annual dues of the LOPHC will be as follows:
1.
The annual dues year, (fiscal year) will run from April 1 to March
30.
2.
Single membership is $15.00 and Couple/Family membership is $25.00
3.
Prorated dues have been voted on and changed effective 6/5/07.
Subdivision 2 above is now the only dues for the club.
4.
Dues renewals are due not later than April 30.
5.
Membership renewal notices will be posted on the Website and
included in meeting minutes.
Article III:
Meetings
A.
Social Meetings:
The LOPHC will have at
least one social event a month. This
may take place after a business meeting has concluded or as a stand-alone
meeting. Limited business may
be discussed at the discretion of the Executive Board as defined in
Article IV Section B of these bylaws.
B.
Business Meetings: Will occur at least every other month. These meetings will be conducted by the Club President or in
his absence, a designated member of the Executive Board. Any member in good standing may attend a business meeting.
All club decisions at the business meeting will be by a simple
majority vote of those present. Minutes will be taken at all meetings and sent out to the
membership via e-mail, posted on the Website, and reported on at the
following meeting.
1. Please keep social
talk to a minimum during the business portions of meetings. We all like
to have fun, but to get to the fun and social
activities, we need to move through the business meeting smoothly. To do
that, we need to be focused on the task at hand. We need to carry on one
conversation at a time. Even though we may not agree, we need to respect
other’s perspectives. We are all valuable contributors to the Lake
Ontario Parrot Head Club. We will state when someone has urgent club
business. If it gets a bit rowdy, the President has the right to have
members raise their hands to talk.
C.
Executive Board
Meetings: The
Board will meet on an as needed basis.
Minutes from these Executive Board meetings will be made available
to all members in good standing and reported out at the next general
business meeting.
Article IV:
Chapter Officers,
Executive Board and Elections
A.
Officers/Elections:
The club will elect the
following officers for a one year term under the conditions listed below;
President, Vice President, Secretary, Treasurer.
(Current elected officers elected in August of 2002 will serve a
term to end on 3/31/04.) Elections
will be held during the March Business meeting.
Nominations will be at the February meeting.
Self-nominations will be allowed.
Any member wishing to run for office will be entitled to a 1 to 2
minute speech during the February meeting.
Election will be on a secret ballot by a simple majority of those
present at the meeting. A member can vote by proxy only with the prior approval of
the Executive Board. Newly
elected officers will assume duties on 4/1, the start of the fiscal year.
B.
Executive Board:
The executive Board will consist of the Club President, Vice
President, Secretary, and Treasurer.
The Executive Board will be responsible for insuring all club
activities are conducted within the guidelines of Parrot Heads In Paradise
Inc., as established in the PHIP bylaws established at the 1997 Meeting of
the Minds, and the LOPHC Mission Statement.
The Board will be empowered to make decisions between business
meetings to insure these goals are met.
All decisions will be by consensus, with each member having one
vote. The President may serve
as a tiebreaker if consensus cannot be reached.
Any and all Board decisions will be reported out at the next
general business meeting. The
Board will act on recommendations from the general membership meetings and
forward projects/concepts to the general membership meetings for approval
and enactment. The Board will
designate special points for projects/activities at their discretion.
C.
Responsibilities of Elected Officers:
1.
President:
The President shall a.
Have such powers and duties as are usually exercised by such an office. b.
Be Executive Officer of the LOPHC and preside at all general business
meetings, special meetings, and meetings of the Executive Board. c. Manage
other club officers. d. Act as checks and balances of the club Treasurer.
e. Work with Committee Chairpersons and the Vice President in order to
help insure all assigned tasks are completed in a timely manner. f. Have
the power to call Special Meetings of the LOPHC and the Executive Board.
g. Appoint, subject to the approval of the Executive Board and except as
provided elsewhere in these bylaws members to various committees. h. Deal
with other matters as may be placed in his or her charge by the Executive
Committee or membership. i. Deal with and try to resolve complaints and
issues within the LOPHC and with PHIP. j. Serve as liaison with PHIP or
designate this role to another member of the Executive Board on a
case-by-case basis.
2.
Vice President:
The Vice President shall a. In the absence of the President, have
the powers and duties of the President. b. Act as checks and balances of
the President. c. Compile and keep accurate records of points earned by
member as per Article VI Section C of these bylaws. d. Deal with other
matters and or powers that are delegated to the position by the President
or the Executive Board.
3.
Secretary: The
Secretary shall a. Ensure that minutes are recorded at all business and
Executive Board meetings. b. Keep accurate records of all LOPHC
activities. c. Compile all required data for PHIP and send to the
President.
4.
Treasurer: The
Treasurer shall a. Record and keep track of all financial functions and
transactions. b. Balance account, issue checks for all charities and
expenditures. c. Present quarterly financial statement to the membership
of the LOPHC and the Executive Board. d. Keep a current member list to
ensure dues are current.
Article V:
Committees
A.
General: Special
committees may be established by the President, Executive Board and/or
general membership to deal with specific projects that arise out of club
needs.
B.
Committee Roles:
The purpose of all
committees is to ensure that day-to-day functions and special events are
completed in a timely manner. To
this end the committees, working under a Chairperson, are given the
detailed responsibility of specific events and activities.
The committees are expected to work closely with the Executive
Board on all projects/events. They
are also required to keep the President and Board informed of all plans
and progress.
Article
VI:
Miscellaneous
A.
Adoption of Bylaws:
These bylaws have been
approved by a majority of members in good standing at a general business
meeting.
B.
Amendment to Bylaws: An amendment to these bylaws may be proposed by active
members of the LOPHC at a business meeting or by the Executive Board.
Voting on an amendment to the bylaws will take place at the next
business meeting after prior notice has been sent to members.
A simple majority vote shall carry any proposed amendment to these
bylaws. An amendment to these
bylaws approved by the membership shall be effective on a date decided
upon by the Executive Board and said date will not exceed the beginning of
the next fiscal year.
C.
LOPHC Concert Point
System: The
point year will run concurrent with the fiscal year of the club.
Point totals on 3/31 will apply to concerts in the following
summer. No more than 2 tickets per member will be available to the
highest earners. No more than
2 tickets per household. Single
members are eligible for 2 tickets provided that a member of the club uses
the second ticket. The above
figures may be adjusted by the Executive Board based upon ticket
availability. Ties may be
broken by lottery. The
Executive Board may designate one or two tickets for charity fundraisers.
The Executive Board reserves the right to decide on any situation
currently not covered by this section. All
qualified members will be given a deadline for purchase of these tickets.
If that deadline passes, the opportunity to purchase will go to the
member with the next highest total. The
Vice President will keep a running total of all points for the year.
